After negotiation, the two parties hereby agreed to sign the contract upon the following terms and conditions:

1 Responsibility of Party B

- Cung cấp sản phẩm cho bên A theo đúng số lượng, chất lượng, mẫu mã, thời gian và địa điểm như thỏa thuận trong hợp đồng này.
- Supply products to party A with quantity, specification, time and place of delivery as agreed in sales contract
- Cung cấp hóa đơn GTGT cho bên A ngay sau khi bên A yêu cầu 
- Provide VAT invoice to party A as soon as delivery done
- Phối hợp cùng bên A giải quyết các vấn đề phát sinh trong quá trình thực hiện hợp đồng và giao nhận hàng hóa. 
- Cooperate with party A to resolve any matter occur during period of contract and merchandise exchange process

2. Responsibility of Party A
- Phối hợp cùng bên B giải quyết các vấn đề phát sinh trong quá trình thực hiện hợp đồng và giao nhận hàng hóa.
- Cooperate with party B to resolve any matter occur during period of contract and merchandise exchange process.
- Thanh toán đầy đủ và đúng hạn cho bên B số tiền đã thỏa thuận trong hợp đồng và theo kế hoạch thanh toán được hai bên nhất trí tại Điều 4.
- Pay in full and on time to party B total amount as agreed in sales contract as well as payment schedule agreed in article 4
            

ARTICLE 5: GENERAL TERMS AND CONDITIONS / ĐIỀU KHOẢN CHUNG

            The two parties undertake to abide all articles of this agreement. Any of parties violate this agreement shall be subject to compensation. Should any difficulties or changes occur, official letter must be required and should be settled by negotiation. In case, a satisfactory decision cannot be reached by negotiation, the problems will be submitted to Economic Court. All fees regarding to the Court will be paid by the looser.

            Hai Bên cam kết thực hiện đầy đủ và nghiêm túc các điều khoản và thời hạn được chỉ ra trong hợp đồng. Nếu gặp khó khăn hai Bên sẽ cùng bàn bạc giải quyết bằng thương lượng trên tinh thần hợp tác. Nếu tranh chấp xảy ra mà không giải quyết được bằng thương lượng sẽ đưa khiếu nại tới tòa án nhân dân cấp có thẩm quyền để giải quyết. Phán quyết của tòa án là quyết định chung thẩm mà hai Bên có nghĩa vụ thi hành..

            The contract comes into force from the signing date and is made into 04 originals of equal legal validity, each party keeps one (02) of them.

            Hợp đồng được lập thành 04 bản, mỗi Bên giữ 02 bản có giá trị ngang nhau.
